3. Work may begin once the agreed advance payment and necessary project information have been received.
4. Any change to the scope, features, integrations, or deliverables may require a revised quotation and timeline.

8. Software Development and Project Delivery

For custom software, website, mobile application, or integration projects:

1. The agreed scope and deliverables will be defined in the applicable proposal or statement of work.
2. Delivery estimates depend on the agreed requirements, timely customer responses, approvals, and third-party dependencies.
3. The customer must provide required content, credentials, test data, and other materials in a timely manner.

7. Final deployment, source-code handover, or transfer of specified deliverables may be subject to payment and acceptance conditions stated in the applicable agreement.

The Company will not materially change the agreed project scope or charge for unapproved additional work without an appropriate agreement, except where otherwise lawfully agreed.

9. Intellectual Property Rights

Unless otherwise agreed in writing:

1. The Company retains ownership of its pre-existing software, frameworks, libraries, tools, templates, reusable components, technical methods, and proprietary materials.
2. The customer retains ownership of its pre-existing data, branding, content, and materials supplied to the Company, subject to third-party rights.
3. Rights in custom-developed deliverables will be determined by the applicable written agreement, including any conditions relating to full payment.
4. Open-source software and third-party components remain subject to their respective licenses.
5. Customers must not remove proprietary notices, misrepresent ownership, or use Company intellectual property outside the rights granted to them.

No transfer of intellectual property ownership should be assumed unless it is expressly agreed in writing.

10. Acceptable Use

You must not use our website or services to:

  • Violate applicable laws or third-party rights.
  • Distribute malicious software or attempt unauthorized access to systems.
  • Interfere with the security, availability, or operation of the services.
  • Reverse engineer, decompile, or copy software except where expressly permitted by law or written agreement.
  • Use the services for fraud, unlawful surveillance, spam, or other prohibited activities.
  • Upload content that you do not have the legal right to use.
  • Circumvent subscription limits, access controls, or technical restrictions.

The Company may investigate suspected misuse and take proportionate action permitted by the applicable agreement and law.

11. Customer Data and Privacy

The collection and processing of personal information are governed by our Privacy Policy and applicable data-protection laws.

Customers are responsible for ensuring that they have a lawful basis and appropriate authority to provide Customer Data to the software.

Where the Company processes personal data on behalf of a customer, the respective responsibilities of the parties will be determined by the applicable agreement and law.

Customers should maintain appropriate copies of important business information and follow any data-export or backup procedures provided for their service.

The Company will apply the security and data-handling commitments expressly applicable to the relevant service.

12. Hosting and Third-Party Services

Our services may depend on third-party hosting providers, domain registrars, cloud platforms, APIs, communication providers, app stores, and payment processors.

  • Third-party services may be subject to separate terms and privacy policies.
  • Availability and performance may depend on providers outside the Company's direct control.
  • Third-party charges and renewals may be billed separately where specified.
  • Changes to third-party products, APIs, policies, or pricing may require corresponding changes to the service.

The Company will address third-party dependencies in accordance with the applicable agreement and will not exclude responsibility that cannot lawfully be excluded.

13. Maintenance, Support, and Availability

Support channels, maintenance arrangements, response times, and service-level commitments will be specified in the applicable plan or agreement.

We may perform maintenance, security updates, upgrades, or emergency repairs where reasonably necessary.

Although we aim to maintain reliable services, uninterrupted availability cannot be guaranteed unless an express service-level agreement provides otherwise.

14. Warranties and Disclaimers

The Company will provide its services in accordance with the applicable description, quotation, and agreement.

Except for commitments expressly made in writing and rights that cannot lawfully be excluded, the website and services are provided subject to their documented scope, technical limitations, and applicable third-party dependencies.

We do not guarantee specific business outcomes, revenue, customer acquisition, or operational results unless expressly agreed in writing.

Nothing in these terms excludes statutory warranties, consumer rights, or other protections that cannot legally be excluded.

15. Limitation of Liability

To the extent permitted by applicable law, the Company will not be liable for indirect or consequential losses arising from use of the services, such as loss of anticipated profits or business opportunities, where such exclusion is legally enforceable.

Any agreed financial cap on liability must be specified in the applicable contract and must comply with applicable law.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law, including any applicable liability arising from fraud or willful misconduct.

16. Suspension and Termination

The Company or the customer may terminate a service in accordance with the applicable subscription terms, project agreement, or other written contract.

Where permitted by law and the relevant agreement, the Company may suspend or terminate access if:

  • Payments remain overdue after any applicable notice or cure period.
  • The customer materially breaches these terms and fails to remedy the breach when required.
  • Use of the service presents a material security risk or involves unlawful activity.
  • Continued provision of the service becomes unlawful or technically infeasible.

Where reasonably practicable, notice and an opportunity to remedy a breach will be provided before suspension or termination.

Termination does not remove payment obligations that have already accrued. Refunds, data access, data export, and deletion will be handled in accordance with the applicable agreement, Privacy Policy, and law.

17. Refunds and Cancellations

Refund eligibility, cancellation procedures, and applicable deductions are governed by the Company's Refund and Cancellation Policy and the applicable customer agreement.

Customers should submit cancellation or refund requests using the official contact details published on the website.

Nothing in these terms removes a refund entitlement or other right that must be provided under applicable law.

18. Confidentiality

Each party may receive confidential business, technical, commercial, or customer information from the other party.

Where confidentiality obligations apply, each party must use reasonable measures to protect such information and use it only for the relevant business purpose.

Information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law may be treated according to the applicable agreement and legal requirements.

19. Force Majeure

Neither party will be responsible for a delay or failure caused by circumstances beyond its reasonable control, to the extent permitted by law.

Such circumstances may include natural disasters, widespread network failures, war, government restrictions, major infrastructure outages, or other comparable events.

The affected party should notify the other party where reasonably practicable and take reasonable steps to reduce the impact.

20. Changes to These Terms

The Company may update these Terms and Conditions to reflect changes in its products, services, business practices, or legal requirements.

Updated terms will be published on the website with a revised effective or last-updated date. Changes will apply as permitted by applicable law and any existing customer agreement.

Material changes will be communicated where required by law or the relevant agreement.

21. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of India, subject to applicable mandatory legal protections.

The parties should first attempt to resolve disputes through good-faith communication. If a dispute cannot be resolved informally, it may be referred to the competent courts or other dispute-resolution forum having jurisdiction under applicable law.

Nothing in this clause restricts any mandatory consumer remedy or jurisdictional right available under applicable law.

22. Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.

23. Entire Agreement

These Terms and Conditions, together with the applicable quotation, service agreement, subscription terms, and policies incorporated into the relevant transaction, constitute the agreement governing the relevant service.

A specific written agreement may override these general terms where it expressly addresses the same matter.
